4. Service Agreement & Project Scope

  • Feedback/approvals within agreed timeframes

4.3 Project Timeline

  • Estimates given in good faith
  • Client‑side delays may extend timelines
  • Force majeure may impact delivery
  • Timeline changes require mutual agreement

5. Payment Terms & Pricing

5.1 Payment Structure

  • Small (< ₹50,000): 50% advance, 50% on completion
  • Medium (₹50k–₹2L): 40% advance, 30% milestone, 30% completion
  • Large (> ₹2L): milestone‑based
  • Retainers billed in advance

5.2 Methods

  • Bank transfer (preferred)
  • Online gateways
  • Cash (local)
  • International wire

5.3 Late + 5.4 Extra Costs

  • Invoices due in 15 days; 2%/month late fee
  • Suspend after 30 days; legal after 60
  • 3rd‑party costs billed separately
  • Extra revisions/rush/travel may apply

6. Intellectual Property

6.1 Client Ownership

  • Upon full payment, ownership of custom work
  • Client‑provided assets remain client’s
  • Source files & documentation delivered

6.2 Our IP

  • Proprietary tools/frameworks retained
  • Pre‑existing libraries/templates remain ours
  • Portfolio/sharing rights for showcasing

6.3 Third‑Party Materials

  • Subject to their licenses
  • Stock/Fonts remain owners’ property
  • Client responsible for requested licenses

7. Confidentiality & Non‑Disclosure

7.1 Confidential Information

  • We protect client data; employees/contractors bound
  • Obligations survive termination

7.2 Exceptions

  • Public info; third‑party lawful disclosure
  • Required by law; prior knowledge

8. Website & Software Warranties

8.1 Service Warranties

  • Professional skill & care
  • Meets agreed specifications
  • Critical bug fixes within 30 days
  • Warranty period: 90 days

8.2 Limitations

  • No warranty for 3rd‑party integrations
  • No guarantee for future compatibility
  • Client modifications void warranties

8.3 Marketing Disclaimers

  • No guaranteed rankings/traffic/conversions
  • External factors/algorithms may affect results

9. Limitation of Liability

9.1 Limits

  • Liability capped at amounts paid
  • No indirect/consequential damages
  • No liability for lost profits

9.2 Indemnification

  • Client content/IP violations
  • Client modifications/misuse

10. Service Level Agreements

10.1 Hosting & Maintenance

  • 99.5% uptime (excl. scheduled maintenance)
  • 24h response during business hours
  • Monthly security updates & backups
  • Emergency support for critical issues

10.2 Response Times

  • Critical: 4–8h
  • Non‑critical: 24–48h
  • General: 2–3 days
  • Hours: Mon–Sat, 9:00–18:00 IST

11. Data Protection & Privacy

11.1 Data Handling

  • Aligned with our Privacy Policy
  • Technical & organizational measures
  • Backups for duration + 1 year
  • Compliant international transfers

11.2 Retention

  • Project files retained 2 years for support
  • Deletion available on request
  • Legal retention may apply
  • Anonymized data for analytics may be kept

12. Termination

12.1 By Client

  • 30‑day written notice
  • Completed work/milestones payable
  • Fees based on stage/resources

12.2 By Company

  • Non‑payment; breach of Terms
  • Non‑cooperation; illegal/unethical requests

12.3 Effects

  • Outstanding invoices due
  • Work stops upon notice
  • Delivery on full payment
  • Confidentiality survives

13. Force Majeure

  • Natural disasters, extreme weather
  • Government actions/regulations
  • Strikes or labor disputes
  • ISP failures
  • Pandemics/health emergencies

14. Dispute Resolution

  • Direct communication & good‑faith negotiation
  • Senior management involvement
  • Mediation may be pursued

14.2 Legal Jurisdiction

  • Indian law; West Bengal courts
  • Arbitration for disputes > ₹5,00,000

15. Amendments & Updates
